Acceptance of Terms

By accessing or using Shopra’s software, services, website, or API (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Services.

If you are using the Services on behalf of a company or organization, you represent that you are authorized to accept these Terms on its behalf.

Changes to the Terms

We may update these Terms from time to time. Changes become effective upon posting. Continued use of the Services after changes means you accept the updated Terms.

The Services

Shopra provides a SaaS analytics and intelligence platform for beverage companies, including data ingestion, reporting, dashboards, and related tools.

We may modify, suspend, or discontinue the Services at any time with or without notice.

Account Registration & Security

You must create an account to access the Services. You agree to:

1. Provide accurate information.
   
2. Maintain the confidentiality of your login credentials.
   
3. Notify us immediately of any unauthorized use.
   

You are responsible for all activity occurring under your account.

Subscription & Payment Terms

Access to the Services may require a paid subscription. By subscribing, you agree to:

• Pay all applicable fees on time.
  
• Allow recurring charges, if applicable.
  
• Accept that subscription fees are non-refundable unless required by law.
  

We may change pricing with reasonable notice.

License & Acceptable Use

We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

You agree NOT to:

• Reverse engineer, decompile, or attempt to extract source code.
  
• Use the Services to build a competing product.
  
• Interfere with or disrupt the platform.
  
• Upload unlawful, sensitive, or malicious content.
  
• Access data you are not authorized to access.
  

Data Ownership & Rights

Your Data

You retain all rights to the data you submit (“Customer Data”).

You grant Shopra a license to process, store, and display Customer Data solely to provide the Services.

Aggregated & Anonymized Data

We may use anonymized, aggregated data to improve the platform, create industry insights, and enhance system performance.

No identifiable customer information will be shared.

Third-Party Services

The Services may integrate with third-party platforms (e.g., retailer data systems, distribution systems, analytics tools).

Your use of third-party platforms is governed by their respective terms. 

Confidentiality

Each party agrees not to disclose the other party’s confidential information except as necessary to perform under these Terms.

Service Availability

We will use commercially reasonable efforts to maintain uptime and data reliability.

We do not guarantee uninterrupted availability and may perform maintenance from time to time. 

Termination

You may terminate your account at any time.

We may suspend or terminate your access if you violate these Terms or fail to pay subscription fees.

Upon termination:

• Your access is revoked.
  
• We may retain backups for a reasonable period.
  
• You may request export of Customer Data within 30 days.
  

Disclaimer of Warranties

The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind.

We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. 

Limitation of Liability

To the maximum extent permitted by law, Shopra and Scrumly Inc. will not be liable for:

• Indirect, incidental, consequential, special, or punitive damages.
  
• Loss of profits, revenue, or business opportunities.
  
• Data loss or unauthorized access.
  

Our total liability will not exceed the amount paid to us in the previous 12 months.

Indemnification

You agree to indemnify and hold harmless Shopra and Scrumly Inc. from claims arising out of:

• Your use of the Services
  
• Your violation of these Terms
  
• Customer Data you submit
  

Governing Law

These Terms are governed by the laws of Delaware, without regard to conflict-of-law principles.

Dispute Resolution

Any disputes will be resolved through binding arbitration in Delaware.

You waive the right to participate in class actions or class arbitration.
